Consulting Approach
Oriel’s goal is to transfer “thought process and know-how” to our Clients in the areas of formulating innovative business and finance strategy, and ensuring follow-through in effective administration of the strategy so that they can achieve their business growth and wealth creation objectives
Stage A
- Client Data Gathering. Client provides business & financial data to Oriel(*) based on Oriel Data checklist.
(* ALL data provided will be treated with strict confidentiality, and will not be shared with any other parties without prior Client’s consent)
- Preliminary Assessment. Oriel assesses Client data, and feedbacks to Client from the perspectives of capital markets (equity and/or debtor providers). If Client business case is “bankable”, proceed to stage 3. If Client business case is “not bankable”, Oriel will provide the reasons, and also return ALL documents collected to Client.
- Consulting Mandate. Oriel formulates Consulting Mandate based on Data provided by Client and Desired Objectives to be accomplished.
- Discussion & Clarifications. Oriel explains Terms of Reference of Consulting Mandate, Roles & Responsibilities of Client and Oriel, and Consulting Remuneration Plan.
- Appointment of Oriel. Client signs Consulting Mandate with Oriel. Oriel and Client commence consulting process.
Stage B
- Client Interview. Oriel conducts detailed client interview to obtain business data and financial, according to Oriel data checklist.
- Data validation. Oriel verifies and clarifies with Client on ALL the data provided.
- Consulting & Role Play. Oriel provides guidance to Client on developing business and financial strategy and action plan for implementing Client’s business growth and wealth creation objectives.
Oriel role plays with Client where
- Client is the “seller or buyer of business/distributorship/franchise, etc” or seeks funding from capital markets.
- Oriel plays the role of the party at the other end of the negotiation table (refer as “Counter-party”). The other party refers to “buyer or seller of business/ distributors/franchise, etc” or capital providers (equity or debt providers).
- Transaction Management. Oriel provides guidance to Client on how to manage the Counter-party from preliminary meetings to due diligence, negotiation to conclusion of the transaction between Client and the Counter-party.
- Completion. Oriel consulting mandate completes upon Client and the Counter-party signs on the transaction agreement. Transaction agreement refers but not limited to Sales & Purchase Agreement, Financing Agreement, Distributorship Agreement, Franchise Agreement, etc.
